These Terms & Conditions ("Terms") govern participation in the MLS Affiliate Program ("Program") operated by M L S Foodstuff Trading LLC ("MLS", "we"). By applying to join, or by promoting MLS using an affiliate link, code, or account, you ("Affiliate") agree to these Terms.

1. Program Overview & Eligibility

1.1 The Program is free to join and open to individuals aged 18+ who complete the online application. MLS may approve or decline any application at its sole discretion, and aims to review applications within 24 hours (not guaranteed).

1.2 Upon approval, MLS provides: (a) a unique affiliate tracking link/code and dashboard access via our affiliate platform (currently Social Snowball); (b) an invitation to the "MLS Affiliate Partners" WhatsApp community; and (c) one complimentary sample pack (2× AUS grass-fed beef burgers 125g + 1× AUS grass-fed striploin 250g), subject to availability and UAE delivery — a one-time gift, non-transferable and with no cash value.

1.3 The WhatsApp community is for offers, content ideas, and support. MLS may remove members for spam, abuse, or sharing group content publicly, and may modify or close the group at any time.

2. Commission & Payment

2.1 "Qualifying Order" means a completed, paid order on mlsuae.ae of AED 500 or more, placed using your affiliate link/code, that is not later refunded, cancelled, or found fraudulent.

2.2 Commission is calculated on a tiered basis according to your total Qualifying Order value in a calendar month: 10% on the portion of monthly referred sales from AED 0 up to AED 5,000; 15% on the portion from AED 5,000 up to AED 10,000; and 20% on the portion above AED 10,000. MLS may introduce additional commission tiers or adjust these thresholds and rates at any time in accordance with Section 5.2.

2.3 Referrals are tracked via a 30-day cookie window from first click/use of your link or code. Commission is confirmed after order delivery and a short review period (up to 2–3 business days), then paid monthly in arrears by bank transfer. MLS may set a minimum payout threshold and request ID/bank verification before release.

2.4 MLS may withhold, reverse, or reclaim commission on orders that are cancelled, refunded, disputed, or linked to fraud or a breach of these Terms. You are responsible for any taxes owed on your earnings.

2.5 MLS reserves the right, in its sole and absolute discretion, to refuse, withhold, reduce, or decline payment of any commission, in whole or in part, without obligation to provide a reason.

3. Promotion Guidelines

3.1 You may promote MLS via social media, messaging, email, and video content. We encourage (but do not mandate) at least one post/reel per week tagging @mls.uae.

3.2 Content must be truthful — no misleading claims on pricing, health, Halal certification, or delivery. Where required by law or platform policy, disclose the partnership (e.g., "#MLSPartner"). You may use MLS-supplied logos/images only as provided, and must not claim to be an MLS employee or spokesperson.

3.3 Prohibited: bidding on "MLS"/"Muscat Livestock" branded search terms; spam, bots, or incentivized clicks; self-referrals; listing on unauthorized coupon/deal sites; false, offensive, or brand-damaging content; sharing confidential Program or WhatsApp-group information publicly. Breach may result in forfeited commission and/or removal from the Program.

4. IP, Relationship, Liability

4.1 MLS's brand, logos, and content remain MLS property. By posting content featuring MLS products, you grant MLS a non-exclusive, royalty-free licence to reshare it across MLS's own channels with credit where reasonable.

4.2 You participate as an independent contractor, not an employee or agent of MLS, and may not bind MLS to any obligation.

4.3 The Program and its tracking tools are provided "as is" with no guaranteed earnings. MLS's total liability under these Terms is capped at commission paid to you in the preceding 3 months, and excludes indirect or consequential losses.

5. Term & Termination

5.1 Either party may end participation at any time (you: by emailing contactus@mlsuae.ae; MLS: with or without notice for breach, fraud, reputational harm, or Program discontinuation). Commission validly earned before termination is still paid, unless termination is due to fraud or material breach.

5.2 MLS may update these Terms, the commission rate, or Program benefits at any time, with changes notified via email, WhatsApp, or dashboard. Continued participation means acceptance of the update.

5.3 These Terms, the Program, and any affiliate agreement made under them may expire, be suspended, or be terminated by MLS at any time, with or without cause, and with or without prior notice.

6. Governing Law & Contact

6.1 These Terms are governed by UAE law and subject to the exclusive jurisdiction of the Dubai courts. Personal data is processed per MLS's Privacy Policy (mlsuae.ae/pages/privacy-policy).
